Terms and Conditions

1. Definitions
 
In this document, the following terms shall have the meanings assigned to them:
 
• “Agency” refers to Busy Blooming, the video editing service provider.
• “Client” refers to any individual or entity engaging the services of the Agency.
• “Services” refers to any video editing, consulting, or related services provided by the Agency.
• “Invoice” refers to the bill issued by the Agency to the Client for the Services rendered.
• “Agreement” refers to this Terms and Conditions document, which governs the relationship between the Agency and the Client.
• “Intellectual Property” refers to any creative work, ideas, designs, footage, and related materials provided by the Client to the Agency.
• “Confidential Information” refers to any communication, processes, rates, and other sensitive information exchanged between the Agency and the Client.
 
2. Payment Terms
 
• The Client agrees to pay the full amount indicated on the Invoice within 15 days of its issuance. Payment can be made either directly through the invoice page or through another previously agreed-upon payment method.
• Late or non-payment may result in immediate cancellation of Services and/or the imposition of interest on the outstanding balance.
 
3. Termination of Services
 
• Both the Client and the Agency may terminate this Agreement at any time.
• If the Client chooses to terminate the partnership before the completion of the project, the Client is responsible for compensating the Agency for the work completed up to the date of termination. The amount owed will be determined by the Agency based on the progress of the work.
• If the Agency chooses to terminate the Agreement before the completion of the project, the Client is not liable for payment of the unfinished work.
 
4. Invoicing
 
• The Client agrees to be invoiced on a monthly basis unless explicitly communicated otherwise.
• The Client may request additional services throughout the month. These additional services will be added to the final end-of-month Invoice.
• The Agency is responsible for clearly communicating any additional expenses before beginning work on these additional services. The Client has the right to request updates on their current billing status within a work month. However, the final Invoice amount is determined by the Agency.
 
5. Intellectual Property and Confidentiality
 
• The Client retains ownership of all footage and Intellectual Property provided to the Agency. The Agency may not use this material for commercial purposes without explicit written permission from the Client.
• The Client acknowledges that their raw footage and files may be distributed to editors as necessary to complete the project. The footage remains confidential and may not be shared with other clients or externally without explicit permission.
• All communication between the Agency and the Client, including processes and agreed-upon rates, is considered Confidential Information and may not be disclosed without explicit written permission from the other party.
 
6. Indemnity
 
• The Client agrees to indemnify and hold harmless the Agency from any and all claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising out of or related to the Services provided by the Agency. This includes, but is not limited to, claims of copyright infringement, breach of confidentiality, or any financial damages caused as a result of the Services provided.
 
7. Governing Law
 
• This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Busy Blooming operates.
 
8. Entire Agreement
 
• This document constitutes the entire Agreement between the Agency and the Client, and supersedes any prior agreements, understandings, or negotiations, whether written or oral.
 
9. Amendments
 
• Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
